Existing Grubhub for Business clients, Wonder Group Inc. (“Wonder”) employees (including Grubhub Holdings Inc. (“Grubhub”) employees), or other individuals (in each case, a "Referring Entity") who refer other prospective Grubhub for Business clients ("Referred Client(s)") to the Grubhub for Business (f/k/a Grubhub Corporate, Seamless Corporate, and Grubhub for Work) platform may be eligible to receive a Grubhub e-gift card (“Gift Card”) (collectively, the “Grubhub for Business Referral Program”), subject to the eligibility criteria and terms below.
Participation in the Grubhub for Business Referral Program is subject to the Grubhub Terms of Use (currently available at https://www.grubhub.com/legal/terms-of-use) and Privacy Policy (currently available at https://www.grubhub.com/legal/privacy-policy), any agreement(s) between Grubhub and the Referring Entity(ies) or Referred Client(s), as applicable, as well as any laws, rules, regulations, or policies that apply to participants and Grubhub. Referring Entities must initiate a referral submission through https://business.grubhub.com/refer-a-new-client/ (the “Referral Form”). By submitting a referral, Referring Entities, including the individual(s) submitting a referral on the Referring Entity’s behalf, represent and warrant that they (A) are authorized to participate in the Grubhub for Business Referral Program (and receive a Gift Card from Grubhub on the terms described herein); (B) have a personal relationship with the Referred Client(s); and (C) have full rights and authorization to share Referred Client’s contact information with Grubhub for its marketing and business purposes. The Referring Entity confirms that Referred Client consents to receive any communications, including emails and phone calls, to the contact information provided in the Referral Form.
General Referral Criteria. Referring Entity will receive a Gift Card of $100 and Referred Client will receive a Gift Card of $100 for each Referred Client that (i) meets the Referred Client eligibility criteria described below; (ii) the Referring Entity refers via a Referral Form at a time when the Grubhub for Business Referral Program is active, as determined by Grubhub in its sole discretion; (iii) is located in the U.S. where Grubhub services are available; (iv) has signed up for a qualifying Grubhub for Business account via a Grubhub sales representative who will reach out to the Referred Client following submission of the Referral Form; (v) and (vi) places at least one (1) Grubhub order through the qualifying Grubhub for Business account.
Referred Client Eligibility Criteria. A Referred Client must be (a) new to Grubhub for Business; (b) located in the U.S. where Grubhub for Business services, including Grubhub merchants and deliveries, are available; and (c) eligible for an enterprise Grubhub for Business account based on then-current Grubhub sales criteria (rather than self-service or other types of Grubhub for Business accounts), in each case as determined by Grubhub in its sole discretion. Multiple locations of the same business will be treated as a single Referred Client for the purposes of the Grubhub for Business Referral Program. A Referring Entity may therefore only receive one Gift Card for that Referred Client even if multiple Referring Entity locations are submitted.
In the event of a Referred Client being referred by multiple Referring Entities, only the first Referring Entity will be eligible to receive a Gift Card for any particular Referred Client and the Referred Client will only be eligible for a single Gift Card.
For the avoidance of doubt, Referred Clients must sign up through the Grubhub sales representative that reaches out to them as a result of the Referral Form submission in order for the Referring Entity to be eligible for a Gift Card; if a Referred Client signs up through other means (e.g., the self-serve online process), the Referring Entity will be ineligible for a Gift Card for that Referred Client. Gift Cards will be issued within 60 days of the Gift Card being earned. Gift Cards will be distributed to the email addresses provided in connection with the Referral Form, except as otherwise agreed to by Grubhub.
Gift Card Terms & Restrictions. Gift Cards are redeemable via grubhub.com or the Grubhub app on eligible orders in markets where Grubhub is available within the U.S. only. Must have a Grubhub account and must provide a secondary method of payment accepted by Grubhub to complete a purchase. Gift cards may not be redeemable on certain orders or accounts (including certain campus dining accounts). Gift cards cannot be reloaded, resold, combined with cash, used to purchase other gift cards, transferred for value, or redeemed for cash, except to the extent required by law. Additional gift card terms and restrictions apply.
Special Terms for Wonder Employees. When participating in the Grubhub for Business Referral Program, Wonder employees are required to act ethically, professionally, and in accordance with the law. Employees must adhere to all Wonder policies, including but not limited to those regarding business conduct and ethics in addition to those policies and laws relating to customer privacy and anti-bribery, including the U.S. Foreign Corrupt Practices Act (collectively, “Applicable Laws”). Employees should also be sensitive to and observe the Referred Client’s applicable policies and corresponding codes of ethics. This program will not apply to any potential clients that are: (i) government entities, (ii) government-affiliated entities, or (iii) labor organizations; in each case, whether federal, state or local and whether in the United States or abroad, consistent with Applicable Laws as well as Wonder’s own policies. Employees who violate these Applicable Laws or policies, or who otherwise attempt to improperly seek a Gift Card, may be subject to discipline, up to and including termination. Wonder, in its sole discretion, may reject and/or not pursue any referrals or Referred Clients submitted. Further, Wonder may, in its sole discretion, decline to provide a Gift Card if Grubhub determines that doing so would violate these terms or applicable law.
Miscellaneous. The Grubhub for Business Referral Program and the terms herein replace and supersede any prior Grubhub referral programs and terms as of the date above. The Grubhub for Business Referral Program may be terminated at any time by Grubhub in its sole discretion. Participants will be disqualified and will not receive Gift Cards if Grubhub determines that the Referred Client has previously created a Grubhub for Business account. Referring Entities may not submit a Referral Form for its own business (including, but not limited to, businesses affiliated with the client’s business). Grubhub reserves the right to withhold Gift Cards to Referring Entities or Referred Clients that have been deactivated on the Grubhub platform for fraud or other misconduct. Grubhub also reserves the right to withhold or invalidate Gift Cards obtained through this referral program if Grubhub determines or believes that the Gift Cards (or any order through a Referred Client) was received through error, fraudulent, illegal, or in violation of these terms and conditions or any other applicable agreement involving Grubhub. Additionally, Grubhub reserves the right to provide an incentive of commensurate value to the Gift Card in lieu of a Gift Card at Grubhub’s discretion. To the maximum extent permitted by law, Grubhub reserves the right to modify or terminate this referral program at any time, with or without notice. Void where restricted or prohibited by law.
